Where to find them?

You can find Soul Shards in Suginami Tunnels (Bronze), by killing a monster called Kodama. In one Loot you should find 1 Soul Shard.

What do I need them for?

You will need 5 Soul Shards for Act 2: Omen.
20 Shards for the Soul Shards: The Sequel quest.
30 Shards for Hohenheim's Embryo quest given by Saint Germain in Shinjuku Babel.
30 Shards for Unity of the Vessel Spirit and Bond quest given by Master of the Cathedral of Shadows in Cathedral of Shadows (Shinjuku Babel).
